SEO Pipeline – Terms of Service
Effective Date: January 1, 2026
These Terms of Service (“Terms”) govern your access to and use of SEO Pipeline (the “Service”), a product operated by
Semantic OS, Inc. (“Semantic OS,” “we,” “us,” or “our”).
By accessing or using SEO Pipeline, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
If you are using SEO Pipeline on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
1. Description of the Service
SEO Pipeline is an AI-powered analytics and intelligence platform designed to analyze data from connected sources and generate automated insights, summaries, reports, and deliverables.
SEO Pipeline is provided as a
decision-support and informational system only. It does not provide professional, legal, financial, marketing, or SEO advice, and nothing within the Service constitutes such advice.
2. Artificial Intelligence Disclosure & Non-Reliance
SEO Pipeline uses artificial intelligence and automated systems to generate outputs.
You acknowledge and agree that:
- AI-generated outputs may be inaccurate, incomplete, outdated, or misleading
- Outputs are probabilistic, not deterministic
- Semantic OS makes no guarantees regarding accuracy, rankings, traffic, revenue, or outcomes
- You are solely responsible for independently evaluating and verifying all outputs before acting on them
All decisions, implementations, and actions taken based on SEO Pipeline outputs are made at your own risk.
3. Third-Party AI & Service Dependencies
The Service relies on third-party services, APIs, and AI providers.
Semantic OS does not control third-party systems, including model training data, output behavior, or availability. We are not liable for interruptions, changes, degradation, or failures caused by third-party services.
4. User Responsibilities & Authorized Access
By connecting accounts or data sources to SEO Pipeline, you represent and warrant that:
- You are authorized to access such accounts and data
- You have obtained all required rights, permissions, and consents
- You are authorized to act on behalf of the organization or account owner
Semantic OS relies on these representations and does not independently verify authorization. You are solely responsible for any claims, damages, or disputes arising from unauthorized access or improper data use.
5. Third-Party Integrations & Platform Compliance
SEO Pipeline allows you to connect third-party platforms and services.
You agree that:
- You are responsible for complying with all applicable third-party terms, policies, and laws
- Semantic OS does not control third-party platforms or enforcement actions
- Semantic OS is not liable for data accuracy, suspensions, revocations, or penalties imposed by third parties
Access to integrations may be suspended or removed if authorization is revoked or restricted.
6. Account Access, Team Members & Security
You are responsible for maintaining the security of your account credentials.
If you invite team members, contractors, or collaborators:
- You control and manage access permissions
- All actions taken by invited users are deemed actions of the account holder
- You are responsible for their conduct and compliance
Semantic OS is not liable for actions, omissions, misuse, or disputes involving invited users.
7. Subscription Plans, Billing & Payments
SEO Pipeline is offered on a subscription basis.
- Subscriptions are billed monthly in advance
- All payments and subscriptions are processed via Stripe
- Pricing, limits, and plan details are displayed in-app
- You authorize recurring charges according to your selected plan
Failure to pay may result in suspension or termination of access.
8. Compute Usage, Limits & Overage Charges
Each subscription plan includes a defined monthly allocation of internal AI compute.
You acknowledge and agree that:
- Compute usage is metered internally
- Usage resets each billing cycle
- Exceeding plan limits may result in overage charges
- Overage charges are calculated based on total monthly usage
- Overage charges are billed automatically at the end of the billing cycle
By continuing to use the Service beyond included limits, you authorize such charges.
9. Upgrades, Downgrades & Capacity-Based Data Lifecycle
Upgrades
- Take effect immediately
- Preserve access to existing data where capacity allows
Downgrades
You acknowledge that downgrading your plan may result in:
- Data deletion
- Loss of historical intelligence
- Fresh crawls, audits, and system rebuilds
Data retention is tied to subscription capacity, and you consent to these effects when modifying your subscription.
10. Cancellation & Termination
You may cancel your subscription at any time.
- Cancellation takes effect at the end of the current billing period
- No refunds are provided for unused time
- Platform access ends when the billing period concludes
Semantic OS may suspend or terminate access for violations of these Terms.
11. Data Access, Retention & Export Upon Cancellation
Upon cancellation, you may submit a written request for eligible data export.
- Eligible data will be provided as a downloadable ZIP file within up to 14 days
Export includes:
- Saved deliverables
- Chat summaries
- User-authored annotations
Export excludes:
- Crawls
- Raw datasets
- Embeddings
- Internal scoring models
- Derived intelligence and system indexes
Download links may expire. Data may be permanently deleted after a defined retention period. Re-subscribing may require a fresh crawl and rebuild.
12. Proprietary Rights & System Ownership
SEO Pipeline, including its architecture, intelligence, models, embeddings, scoring systems, and derived data, is the exclusive property of Semantic OS.
You are granted a limited, revocable, non-transferable license to use the Service during an active subscription. No ownership rights are granted in any underlying systems or intelligence.
13. Service Availability & No SLA
SEO Pipeline is provided on an “as-is” and “as-available” basis.
Semantic OS does not guarantee uninterrupted service, uptime, or availability. No service-level agreement applies unless explicitly agreed in writing.
14. Product Changes & Feature Modifications
Semantic OS reserves the right to modify, suspend, or discontinue any aspect of the Service, including features, compute allocations, AI models, or integrations, at any time.
15. User Feedback
If you submit feedback, ideas, or suggestions, you grant Semantic OS the right to use them without restriction, attribution, or compensation.
16. Limitation of Liability
To the maximum extent permitted by law:
Semantic OS shall not be liable for indirect, incidental, consequential, or special damages
Total liability shall not exceed the amount paid by you to Semantic OS during the period giving rise to the claim
17. Indemnification
You agree to indemnify and hold harmless Semantic OS from claims arising out of:
- Unauthorized access or data use
- Violations of third-party terms
- Actions of team members or collaborators
- Your use of the Service
18. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Any disputes shall be resolved exclusively in Delaware, unless otherwise agreed in writing.
19. Force Majeure
Semantic OS is not liable for failures or delays caused by events beyond its reasonable control, including third-party outages, infrastructure failures, or regulatory changes.
20. Survival
The following sections survive termination or expiration of these Terms:
- Proprietary Rights & System Ownership
- Limitation of Liability
- Indemnification
- Governing Law & Dispute Resolution
- Any provisions which by their nature should survive
21. No Waiver
Failure to enforce any right or provision of these Terms does not constitute a waiver. Any waiver must be in writing and signed by an authorized representative of Semantic OS.
22. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
23. Entire Agreement
These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Semantic OS regarding SEO Pipeline and supersede all prior agreements or understandings.
24. Assignment
You may not assign these Terms without our prior written consent. Semantic OS may assign these Terms in connection with a merger, acquisition, restructuring, or sale of assets.
25. Headings
Section headings are for convenience only and do not affect interpretation.
